Andrias Marine — Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Andrias Marine website, mechanic and owner portal, monitoring hardware and software, engine records, reports, and related services (together, the "Services"), provided by Andrias Marine, Inc., a Delaware corporation ("Andrias," "we," "us," or "our").

Please read these Terms carefully. They include important limitations on our liability and a description of what our records and advisories do and do not represent (Sections 6 and 9).

By creating an account, installing our hardware, or using the Services, you agree to these Terms. If you are using the Services on behalf of a business (such as a marine service shop), you represent that you are authorized to bind that business, and "you" includes that business.


1. The Services

Andrias provides a platform for creating and maintaining engine service records, monitoring engine health, importing business records from connected tools, and generating verified engine reports. Specific features may include an owner logbook, a mechanic/shop portal with a customer roster and service-due tracking, optional monitoring hardware, and buyer reports.

We may add, change, or remove features at any time. Some features are in active development and may change.

If you are a shop, you are responsible for having an appropriate legal basis to enter your customers' vessel and contact information, for the accuracy of the records you log, and for your own obligations to your customers.

5. Connected third-party services (e.g., QuickBooks)

If you connect a third-party service, you authorize Andrias to access information from it as described at connection and in our Privacy Policy, for the purpose of creating engine records. Your use of the third-party service remains governed by that provider's terms. You are responsible for your rights to connect the account and share its data. You can disconnect at any time.

5.1 Setup help

A shop may ask us to enter its vessels and engines on its behalf. That access is granted by the shop, expires after fourteen days, is displayed in the shop's portal for its whole duration, and can be ended by the shop at any time. It covers vessel and engine details only. We do not log service work on a shop's behalf. A service entry carries the name of whoever logged it, and a record of work we did not perform should never carry ours.

Disclaimer. To the fullest extent permitted by law, the Services are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that any prediction, advisory, or record will be accurate or complete.

Limitation of liability. To the fullest extent permitted by law, Andrias and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, use, goodwill, or for damage to or loss of any engine, vessel, or property, or for personal injury, arising out of or relating to your use of (or inability to use) the Services — even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, Andrias's total liability for all claims relating to the Services will not exceed the greater of (a) the amount you paid Andrias for the Services in the twelve months before the claim, or (b) US $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to indemnify and hold harmless Andrias from claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Services, your content or records, your connection of third-party services, or your violation of these Terms or of any law or third-party right.


11. Suspension and termination

You may stop using the Services at any time, and on request we will export the records you have entered. We may suspend or terminate your access at our discretion, including for violation of these Terms or to protect the Services or other users. Certain provisions — including those on records, disclaimers, limitation of liability, and indemnification — survive termination. Because records may belong to or affect other parties (such as a subsequent engine owner), some records may persist after your account is closed, as described in Section 4 and our Privacy Policy.


12. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, where required, provide additional notice. Your continued use after changes take effect means you accept the updated Terms.


13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules.
